Fluor Corporation (NYSE: FLR), a Fortune
500 engineering, procurement and construction company, seeks to hire a
Corporate Counsel.
The position reports to the Managing General Counsel-Corporate and
Assistant Secretary at the company's Corporate Headquarters Office in
Irving, Texas. Candidates must have broad corporate transactional
experience. Responsibilities would include, but not limited to:
* Providing support to the Treasury/Finance group in drafting,
negotiating and reviewing corporate finance agreements, bank credit
agreements, guaranties, and letters of credit.
* Advising on and negotiating public and private M&A transactions.
* Assuring compliance with all federal and state securities laws, rules and regulations.
* Providing support to the Corporate Secretary and the Assistant
Secretary in preparing board resolutions, certificates, bylaws, and
appropriate legal documents to form, merge, or dissolve corporations,
partnerships and other business entities and to maintain all requisite
corporate formalities for both domestic and international subsidiaries.
* Assisting with compliance and planning related to corporate
governance regulations and New York Stock Exchange listing standards.
* Providing support to the Human Resources and Executive
Compensation group by providing legal advice and drafting of legal
documents related to stock option plans, restricted stock plans, and
other stock-based compensation benefits.
Basic Job Requirements -- must have these to be considered for the position
* Law degree from accredited law school required
* Member in good standing of Texas state bar
* Minimum four years of legal practice/experience in
corporate/securities, banking/finance, and corporations/business areas
with another major public corporation or a law firm
* Must be a local candidate
Preferred Job Requirements -- while not required, having these desired
qualifications can be the differentiating factors if there are multiple
good candidates
* Some ERISA experience would be a plus
Other Job Requirements -- need these to be selected for the position
* Demonstrated ability to direct and manage outside counsel
* The application of legal knowledge and skills and negotiating tactics to different situations is required
* Excellent communication skills are required. Writing skills must be above-average
* Must be proficient in use of a personal computer for the purpose
of drafting documents (using primarily Microsoft Word), sending and
receiving email messages
* Must have experience in preparing SEC and other regulatory filings
