AdBrite’s General Counsel (GC) will
handle all of the legal affairs for this fast-paced top-tier
venture-backed start-up in the exciting Internet advertising market.
This is a unique opportunity for an experienced corporate attorney who
is interested in working ~30 hours per week for 3-6 months with the
plan for the role to be full-time in 2009. While this is currently an
individual contributor role, this position will have the opportunity to
build and lead the legal department as the company grows and,
potentially, files for an initial public offering.



The GC needs to be a commercial and corporate generalist with
comprehensive knowledge of risk management and litigation, as well as
possess a solid understanding of the internet marketplace and
technologies. Specifically, the GC will manage the following types of
matters:



· Corporate governance/Securities: Secretary of the Board, handle
minutes, attend board meetings, draft resolutions, secure and approve
409A valuations
, handle legal aspects of options, securities and
venture capital investments.



· Commercial Transactions: Manage all commercial transactions for the
company, including supporting sales, business development, strategic
alliances, licenses, real estate transactions, vendor agreements and
any other business arrangements.



· Intellectual Property: Manage IP portfolio, all patents, copyrights, trademarks.



· Litigation avoidance: Resolve issues to prevent lawsuits; create
policies that maintain positive relationships with industry partners,
competitors and customers.



· Executive management: Serve on executive management team to
participate in strategic decision making and provide counsel to
executive team regarding legal matters.



· Legal Department leadership: As sole in-house legal counsel, deliver
legal services in an efficient, competent and cost-effective manner.



Qualifications:



* Graduate of top-tier law school.

* Member of the California bar.

* 7-10 years relevant practice and experience; IPO and M&A experience essential.

* Ability to handle multiple diverse projects simultaneously.

* Creativity and flexibility in approaching novel legal and business
scenarios; ability to understand business objectives and provide sound
legal counsel to achieve those objectives.

* Grasp of business conditions and strategy; working knowledge and understanding of Internet advertising industry a plus.
