Purpose and Summary of Position:


Reporting
to the Mgr. Global Benefits Strategy.  Responsible for performing
ongoing reporting, analysis, communication and administration of equity
plans and programs.


 


·        
Manage operational aspects of global stock plans (including an employee
stock purchase plan), as well as the relationship with the company’s
transfer agent and outsourced stock administration vendor.


·        
Administer the company’s deferred compensation program.  Work closely
with the Finance and Legal departments as well as an opportunity to
work with senior management.


·         Manage all daily operations of a global stock plan to include:
- Calculate awards
- Prepare, update and distribute award documentation; monitor grant agreement acceptance (either online, manual or both)
- Maintain accurate information regarding awards, forfeitures, vesting and distributions in stock administration system
- Ensure accuracy of data feeds from payroll/HRIS system to stock administration system
- Monitor compliance with share ownership guidelines
- Provide data on stock transactions for Proxy disclosure


·        
Manage relationship with transfer agent and outsourced stock
administration vendor. Serve as key member of the HR team implementing
stock administration system.


·         Liaise with finance, tax, payroll, treasury, SAP/HRIS, IT, legal, investor relations and other departments as needed.


·        
Ensure compliance with accounting and tax rules, and securities laws
for US and International employees, and employees on international
transfer assignments. Monitor changes in tax law and develop and
maintain a process for internationally mobile employees to ensure
withholding and reporting compliance in all tax jurisdictions.


·         Develop and maintain documentation of all company stock administration processes.


·        
Maintain accurate documentation regarding required approval of stock
awards as determined by the Compensation Committee of the Board of
Directors. Serve as primary contact for internal and external auditors
regarding the global stock plan and SOX controls.


·        
Administer non-employee director non-qualified deferred compensation
program. Ensure that initial enrollments, ongoing deferrals and
distributions are made in accordance with participant elections and in
compliance with Internal Revenue code Section 409A.


·        
Process payment of retainer and meeting fees for non-employee
directors. Coordinate with payroll to ensure distribution of annual
1099 forms.


·        
Work with legal department and outside counsel as needed to manage
compliance with insider trading policies and prepare transaction
reporting for Section 16 insiders.


·         Reconcile cash and shares related to stock plan transactions on a monthly, quarterly and annual basis.


·         Answer questions from employees regarding global stock plan and ESPP programs.


Required Knowledge/Skills/Abilities:



·         
5 - 7 years of experience administering global equity plans for a
medium to large publicly traded company with a Bachelors Degree in
Accounting, Finance or Human Resources, or equivalent experience
required.


·         
Strong understanding of the accounting, tax and legal requirements of
equity plans. Knowledge of FAS 123(R) and Internal Revenue Code Section
409A helpful; Section 16 reporting (Forms 3, 4, and 5) and Rule 144
transactions required.


·         
Detail-oriented, organized, able to multi-task and prioritize in
fast-paced environment, with exceptional time management skills.


·          Expert skills using stock administration software, Excel, and other Microsoft Office applications.


·          Ability to administer and interpret complex plan documents and programs


·          Experience complying with SOX requirements (writing narratives, maintaining controls, interacting with auditors).


·          Experience interacting with senior management and Board Members


·          Vendor management experience required. Prior experience implementing outsourcing of stock administration.


·          Exceptional verbal and written communication skills.


·          Creative problem solving skills, good judgment, and an ability to maintain confidentiality.

Certified Equity Professional (CEP) preferred.
