Reporting to the Head of Human Resources, this position has 3 direct

reports.

Responsibilities include:

. Provide leadership on strategic compensation programs with a strong focus

on executive compensation issues.

. Work to support the Compensation Committee of the Board of Directors and

ensure compliance with Sarbanes Oxley and additional accounting and

corporate compliance requirements.

. Provide expertise and leadership on all global compensation with

responsibility and accountability for driving results.

. Establish the strategic alignment on all areas of global compensation

focusing on consistency and development of "best in class" pay programs.

. Partner with key business leaders to determine the appropriate measures

necessary to attract, retain, motivate and reward key performers globally.

. Assess current reward infrastructure and programs and address changes to

improve linkage to the business.

. Responsible for ensuring all compensation programs are competitive &

effective in delivering performance results.

. Provide leadership and management on global compensation program

communication, policies and administration.

. Provide "best practice" research to ensure the most effective program

development and administration are delivering results.

. Manage the review of market competitive information and provide strategic

recommendation for necessary change.

. Provide direction to the maintenance of information critical to

compensation programs.

. Provide critical advice to the technology support of the compensation

system.
