Position Summary:
Position is responsible
for supporting the Executive Compensation function in the areas of
executive compensation plan administration and managing the
administration of the equity programs for the Company. Incumbent must
possess a strong knowledge base of equity plans, executive compensation
arrangements, finance and be able to communicate effectively with
senior management.
Maintenance of Clorox’s executive compensation programs
- Provide support and input into the design, implementation, and administration of executive compensation programs.
- Ensure executive reports are current and accurately reflect the correct populations, remuneration and equity holdings.
- Conduct and/or participate in market research and compensation
surveys to evaluate and report on the company’s competitive positions
in the market.
- Participate in professional compensation associations (e.g. NASPP) to stay current on executive compensation trends.
- Assist in executive compensation projects as needs arise.
Assist in the preparation of Compensation Committee materials.
- Support Executive Compensation Consultant in preparation of materials for Compensation Committee meetings.
- Interface with Executive Compensation Consultant to prepare detailed analyses and materials as needed.
- Manage the compiling of materials for meeting mailing deadlines.
Provide ongoing equity compensation support
- Prepare quarterly equity comp analytics and data processing
(overhang and run rate reports, dividend processing, performance unit
and restricted stock payouts and tracking, etc.)
- Partner with equity vendor to ensure stock administration is compliant, timely and customer-focused.
- Point person for equity transactions and coordination between grantees, vendor and legal department, if required.
- Assist with administration of International equity tax requirements and internal reporting requirements with equity vendor.
- Ensure adequacy of internal controls and proper accounting for executive equity programs, including documentation.
- Partner with Finance, Accounting and Legal to ensure proper disclosure, accounting and audit requirements are met.
- Manage compliance relating to SOX 404 audit and internal control requirements.
