Job Description



Responsible for the administration of the Employee Stock Purchase Plan
(ESPP-approximately $15M annual purchase) as well as providing support
for the administration of the department's stock plans, including stock
options, restricted stock units (RSUs), Director's Stock Plan, UK SAYE,
and dividend reinvestment plan (DRP).  The administration of the stock
plans are administered with strict compliance to the Plan Documents as
filed with the SEC, the IRS Section 423 code for the ESPP, SOX controls
and objectives that include the segregation of duties, implementation
of proper controls and restrictions to department's spreadsheets that
are utilized to support and impact significant financial reporting. 
Administration includes data validation and integrity with respect to
file transmission to and from the Stock Plan Provider.  Provide ongoing
project support for multiple stock programs including the development
of and implementation of project goals and processes.




Key Accountabilities: 


  • Responsible
    for the administration of the ESPP including the updating of enrollment
    materials (over 23,000 eligible employees), any administrative or Plan
    changes, ensure accuracy of enrollment information and coordinate the
    distribution of materials to eligible employees.  Assist in the
    administration of the ESPP for Non-SAP companies at PB.  Subject Matter
    Expert for ESPP for employees and others.

  • Coordinate with
    IT, Total Rewards, Payroll and the ESSC to obtain accurate employee
    information for the enrollment eligibility file. Assist with
    intergration of newly acquired Non-SAP companies when they migrate to
    SAP.

  • Audit and validate the weekly maintenance file
    transmissions is received by PB and sent to Plan Administrator,
    ensuring accuracy of SAP files.

  • Responsible for the
    reconciliation of the ESPP liability account (Approximately $15M annual
    employee contributions).  Reconciliation is performed each pay period
    for both semi-month and bi-weekly reconciling the payroll deductions in
    SAP to the general ledger.

  • Validate year-end ESPP purchase
    file prior to transmission to Stock Plan Administrator•and Confirm that
    shares were credited to employee's accoun.  Intergrate the Non-SAP
    population to the SAP purchase file.

  • Track quarterly
    disqualifying disposition in accordance with IRS 423(B), includes
    preparing and distributing statements to employees, and preparing
    upload sent to ESSC to record ordinary income on W2 

  • Support Sr. Equity Analyst with daily administration of the department's stock plans.

  • Responsible
    for recording daily stock transactions on the department's stock
    activity worksheet for all stock plan transactions as required by SOX
    Objective 4.8.1-segragation


Qualifications:



  • Knowledgeable of generally accepted accounting principles and practices.

  • Knowledge of generally accepted audit principles and practices.         

  • Strong knowledge of financial analysis methodolgies

  • A high degree of accuracy required, particularly with respect to reconciliation of all stock accounts. 

  • Excel, Microsoft Word

  • BA, BS, accounting, business, finance and/or equivalent work experience.

  • 3/5 years analytical, financial and/or accounting experience.




Preferred Skills:


  • working knowledge of FASB requirements, including recently released rules and regulations.

  •  working
    knowledge of domestic local, state and federal tax laws, codes,
    regulations and judical precedents as well as global tax requirements
    for equity awards including stock options and restricted stock units.

  • CEP preferred

  • analysis of equity compensaiton calculations
