This position is with a publicly traded tech
company located in Marin County. The company is the world's leading
supplier of DVD creation software. The company's professional DVD
authoring software is used to produce the majority of major film
releases on DVD.


Position Summary, Scope of Position
Administers
Global Stock Option and RSU plans. Maintains company stock data,
develops reports and answers inquiries regarding stock plans. Position
will be involved in financial and SEC reporting.


Primary Responsibilities:
" Processing stock grants, terminations, exercises and Restricted Stock Unit releases
" Reconciling daily, monthly and quarterly stock activity to verify all stock transactions to source documents
" Maintaining integrity of data in Equity Edge Database
" Interacting with transfer agent and brokers to ensure that trades are settled in a timely manner
"
Prepare reports for required SEC filings: includes Section 16,
executive compensation disclosures in the proxy statement, FAS 123R
disclosures in 10-K and 10-Q.
" Prepare Tax reports as requested
" Manage tax withholding and release of vested Restricted Stock Units
"
Work with external auditors and consultants related to stock
administration during SOX 404 testing and quarterly review and annual
audit processes
" Managing blackout trading suspension with legal department
" Provide excellent customer service
" Perform other duties as required

Requirements and Skills Necessary for the Position:
" Excellent analytical, written and verbal communication skills.
" Must be able to work independently.
" Ability to communicate effectively with senior management
" Strong knowledge of Equity Edge 6.2 or higher, Microsoft Excel, and Word
" Strong technical skills, with excellent organizational skills, sound judgment and attention to detail required.
" 4+ years experience in Stock Administration
" BA/BS
" CEP Level 1 or higher
