Merger & Acquisition Stock Plan Specialist

Description:

The M&A Stock Plan Specialist is responsible for the end-to-end
administration of all Microsoft stock programs offered to Avenue
A|Razorfish subsidiary employees. Responsibilities include:


Act as Stock Plan consultant to AA|RF employees and HR on all stock
option, stock award and ESPP matters, primary contact to field all
stock inquiries from this population and effectively communicate
complex equity compensation details in a non-technical manner.

Maintain AA|RF intranet stock content, develop training materials,
coordinate and lead employee education sessions on Microsoft stock
programs.

Develop, recommend and drive processes to facilitate ongoing
administration of stock programs for a growing employee population of
~1,600 without access to Microsoft tools or systems.

RSU issuance of on-hire and review awards for AA|RF employees,
distribution of award documentation and related messaging outside of
the stock system.

Track and manage stock award issuance against annual allocated AA|RF subsidiary share pool.

Oversee employee payroll process and data for AA|RF population to ensure proper tax withholding and reporting.

Create and distribute regular stock option and award reports to employees.

Assist in execution of equity component of mergers and acquisitions,
and with ongoing administration of acquired company stock plan
provisions.


Key stakeholders of this position are AA|RF HR , Payroll,
Accounting, and employee population, CBPM M&A and internal and
external Legal.


Requirements:

Candidates must have demonstrated experience with stock plan
administration along with strong inter-personal, written and verbal
communication skills. Extreme attention to detail is a critical element
to this position. Must be flexible and be able to work under pressure
and within short time constraints. Certified Equity Professional
designation preferred. Bachelors degree required.
