The Stock Plan & Compensation Analyst at priceline.com is a six-month consulting position located in Norwalk, CT, to cover stock plan administration and compensation analysis for a maternity leave. This position will begin in June/July 2008 and run through December 2008. Responsibilities will include:
Stock Plan Administration
Managing the company's equity plans, including stock options, and various forms of restricted stock, including:
- Coordinating with outsourced providers (Morgan Stanley, ComputerShare, and Mellon) to administer the equity databases and transfer agent book shares balances
- Processing of new quarterly equity grants with related documentation and communication, including preparation of quarterly grant details for Board approval
- Processing option exercises, restricted stock vestings and associated DWAC instructions, including coordinating appropriate tax withholdings with payroll
- Canceling grants for terminated employees
- Preparing information and reports for required SEC filings: including Section 16 - Form 4 filings and quarterly stock plan activity reports for use in the 10-K and 10-Q filings
- Tracking officer 10b5-1 plan activity and maintaining direct & beneficial ownership tables
- Preparing monthly stock plan reconciliations
- Answering general questions from employees regarding equity as they arise
Compensation
- Assisting the General Counsel in the administration of executive compensation programs
- Updating job descriptions and conducting job evaluations to create job description database
- Conducting, participating in, and analyzing wage and salary surveys
- Processing payment of the company's quarterly commission and incentive plans
- Preparing employee compensation statements as needed
- Market & internal job pricing of new job requisitions
- Preparing severance agreements and unemployment forms
- Processing monthly UK pension payments and annual UK benefit plan renewal
- Preparing adhoc employee compensation and demographic reports as needed for management
This position may also incude assisting in general HR functions if needed
Required Skills
The following skills are required for this position:

- Excellent verbal and written communication skills
- Detail-oriented and accurate
- Able to maintain an extremely high level of confidentiality
- Ability to multi-task
- Proficiency in Microsoft Excel
The following skills are big pluses:
- Experience with Computershare/Transcentive's Express Options stock plan administration system
- Experience with the ADP profile and Reportsmith HRIS systems
- Experience with OpenHire applicant tracking system
Required Experience
- Bachelor's degree in Human Resources, Business or related field
- 2 - 4 years of experience in administering employee stock plans
- 3 - 5 years of compensation experience
- Experience in writing and evaluating job descriptions
- CEP, CCP, PHR/SPHR certifications are a plus
