Top performers deserve top pay-If You have the Drive, We have the Vehicle. Facilitate the operational aspects of the Company's stock/equity award and variable compensation programs. Ensure these and related reward programs are in regulatory and Company compliance. Contribute to the preparation and filing of SEC related documents e.g., Form 4, Proxy. Evaluate processes and prepare and facilitate recommended changes. Primary Job Responsibilities: Ensure the Company's equity programs (NQSO, RSA, RSU) are compliant with regulatory (SEC, NYSE, SOX, 409A) and Company policies and facilitate activities associated with the Company's employee and director stock/equity award plans in cooperation with transfer agents, brokers and counsel including: (40%) Validation and processing and record keeping of grant, exercise, lapse and vest events; Accounting, payroll and tax report preparation in accordance with Sarbanes-Oxley (SOX) controls and processes; Management of mobility tracking and tax processes Preparation and review of audit and reconciliation reports Preparation of grant and associated documents and communications Development and adherence to all procedural aspects of plan administration Maintain knowledge of governing regulations and developing trends. Coordinate and facilitate activities associated with various bonus programs including preparation, processing and analysis. (30%) Compile and prepare information and data on executive compensation for inclusion in annual proxy statements and other SEC filings. (10%) Coordinate and facilitate the record keeping, analysis and reporting of management and executive pay, perquisites (e.g. vehicle, executive physicals) and imputed income Insure integrity of system tables and data files by facilitating updates and audits, and prepare standard and adhoc reports and analysis. (5%) Facilitate the compilation and submission of annual EEO reporting. Support the company's merit and labor budgeting processes by preparing data, maintaining associated systems, performing analysis and liaising with various company departments (e.g. Payroll, Financial Planning, Benefits). (5%) Serve as a backup to Retirement Plans Analyst (401(k) and NQDCP. May support the compensation planning process by completing surveys, compiling data and preparing compensation recommendations for new or existing jobs. (5%) Demonstrates behaviors consistent with the Company's Vision, Mission, and Values in all interactions with customers, co-workers and consultants Adheres to all company policies, procedures and safety standards |
Required Experience |
Minimum Qualifications: Must meet company's requirements for employment. Three years related experience. Advanced Microsoft Excel and intermediate Word skills. Access experience preferred. Experience with integrated HR/Payroll systems; ADP Enterprise preferred. Demonstrated ability to identify and contribute to continuous process improvement. Demonstrated ability to work independently and prioritize workload. Above average verbal and written communication skills. Physical Requirements: Normal office environment. Prolonged periods of personal computer usage and data entry. |
Required Education |
Bachelors degree preferably in human resources, accounting, finance or business. CEP or CCP certification preferred. |
