JOB BOARD: Pentair - Equity Compensation Specialist, Minneapolis Area
POSITION SUMMARY
The Equity Compensation Specialist is responsible for the administration of Pentair's equity programs. This role works closely with internal departments and outside vendors including UBS and Wells Fargo, to ensure that the administration is handled in accordance with company policy and plan requirements.
ESSENTIAL DUTIES AND RESPONSIBILITIES
With direction from the Manager, Equity Compensation, this role is responsible for the following essential duties and responsibilities.
Administration of Equity Programs
• Ensure that equity transactions are completed in accordance with regulatory compliance and company policy working closely with our external provider UBS
• Ensure that tax withholding is calculated appropriately in accordance with the most current regulations
• Monitor the daily administration by our designated LTI and ESPP vendors to ensure the accuracy and completeness of all transactions and reporting
• Provide recommendations and support in process improvements
• Document procedures, policies and controls to ensure development of a detailed procedures manual
Compliance
• Assist with the reporting of Pentair's annual report, proxy, federal and state income tax filings, SEC filings, payroll and Sarbanes-Oxley ("SOX") testing
• Responsible for notifying Legal for all Section 16 activity
Communication & Training
• Prepare grant agreements and coordinate delivery of grant communications
• Respond to employee questions in a timely and professional manner
Other Equity Compensation Administration Responsibilities
• Process data and reconcile activity impacting the plans, such as new grants, purchases, exercises, releases or vesting transactions and cancellations
• Ensure all monthly and quarterly accounting requirements are timely and accurately processed
• Coordinate with payroll reporting of option exercise and RSU lapse income and associated taxes
• Process all terminations and other status changes in the equity compensation database and ensure that grants/awards are handling appropriately given reason for termination
• May perform other ad hoc / special projects as assigned
PREFERRED QUALIFICATIONS & EXPERIENCE
• Bachelor's degree
• Proficient knowledge of the Microsoft Office Suite (e.g., Word, Excel, PowerPoint, Outlook).
• 3+ years of experience in equity compensation with a public company
• Strong knowledge of UBS or comparable software/systems
• Knowledge of SEC regulations related to filings and stock trading
• Understanding of the entire equity process cycle, including interdependencies between Legal, Tax, Treasury, Accounting, Payroll and Human Resources
• Advanced Excel skills
