Equity Manager


POSITION SUMMARY



 
The Manager, Equity Administration is responsible to manage the daily administration of all of Pentair's Global Equity Plans, ESPP, ISPP and Board of Director compensation. Working collaboratively with Finance, Human Resources, Legal and outside vendors including UBS, this role will ensure the integrity of the data in the equity compensation database as well as compliance. This role will partner with department leaders to identify, analyze and implement strategic solutions in support of the organizations equity compensation goals and objectives.



ESSENTIAL DUTIES AND RESPONSIBILITIES


• Maintain the integrity of Pentair's equity plans by processing data and reconciling all activity impacting the plans, such as new grants, purchases, exercises, releases or vesting transactions and cancellations.
• Ensure all monthly and quarterly accounting requirements are timely and accurately met.
• Be accountable for global regulatory compliance (tax, accounting, securities law and other applicable rules and regulations).
• Coordinate with payroll reporting of all option exercise income and RSU lapse income.
• Process all terminations and other status changes in the equity compensation database.
• Monitor the daily administration by our designated LTI and ESPP vendors to ensure the accuracy and completeness of all transactions and reporting.
• Work with HR on the annual LTI grant process as well as completing requested reports, analyses, and support materials.
• Prepare grant agreements and coordinate delivery of grant communications.
• Provide analysis and support to the Director of Compensation for special process improvement and product enhancement projects involving our program vendors.
• Manage administration of the Employee Stock Purchase Plan.
• Enhance and document equity related procedures, policies and controls.
• Manage adhoc employee questions in a timely and professional manner.
• Reconcile common shares outstanding with transfer agent.
• Provide timely and accurate reporting to support Pentair's annual report, proxy, federal and state income tax filings, SEC filings, payroll and Sarbanes-Oxley ("SOX") testing.
• Maintain desktop procedures, SOX controls.
• Manage relationship with third party administrators, outside consulting, tax and law firms
• Administer the 10b5-1 program.
• Administer the China SAFE process.
• Responsible for notifying Legal for all Section 16 activity.
• Interact with internal and external auditors in support of quarterly review and annual audits.
• Stays current on legislative changes and external trends to proactively plan and adapt stock programs.
• May perform other ad hoc / special projects as assigned.



 
PREFERRED QUALIFICATIONS & EXPERIENCE


• Certified Equity Professional (CEP) designation
• Bachelors degree in business, human resources or finance
• 10+ years of experience in stock administration with a public company
• Strong knowledge of UBS or comparable software/systems
• Knowledge of SEC regulations related to filings and stock trading
• Understanding of the entire equity process cycle, including interdependencies between Legal, Tax, Treasury, Accounting, Payroll and Human Resources
• Advanced Excel skills
