Responsibilities:
Responsibilities:
This individual will be responsible for the day to day equity compensation activities (see further detail below), payroll review, AP invoice review, expense report review (including Pharma guideline adherence), Concur Expense system administration (adding and deleting new users, answer questions, etc.), AMEX credit card administration, and other as needed activities. This individual will also be responsible for converting the current Equity Edge Online system from a hosted system to a co-hosted system, which will allow full control of our equity compensation system.

Managing new hire, promotion and annual option grants
Managing option exercises
Insider trading
Managing the insider trading window on an individual basis
Managing the trading and compliance
Distributing notifications of opening / closing of window
Filing of Form 3, 4 and 5
Managing 10b5(1) plans
SOX compliance
NQ tax compliance - payroll notification
Restricted Stock Awards:
Implementing online restricted stock awards
Managing grants
(sales force 2x per year grants, promotions, etc.)
Managing 83b elections and/or tax implications on vesting
Vesting tracking / notifications
Payroll implications
SOX compliance
ESPP:
Implementing online ESPP enrollment
Managing changes in deduction percentages
Managing the purchase 4x per year
Managing refunds / terminations
Payroll interface
Taxes:
Filing of 3921 and 3922 forms to both employees and IRS
Distribution of Tax Summaries to employees
Distribution of Exercise confirmation to employees
Distribution of Purchase confirmations to employees
Reporting:
Quarterly Reports to employees (currently done by outside company)
Quarterly Manager reports (currently done by outside company)
Any other ad hoc reporting requirements
Proxy data
10-Q and 10-K data
Stock-based Compensation:
Monthly forecasting valuation (currently done quarterly because of the hosted environment)
Developing and analyzing inputs into model
"What if" scenarios
Budget involvement
Stock Repurchases:
Management of broker
Funds Transfer
Communication with Transfer Agent
Job Requirements:
Bachelor Degree: Accounting
3-5 years of Experience Stocks and Accounting
50 - 70% Stock vs. 30-40% of accounting
Must have experience with Equity
Edge online (or a Similar Software) and MAS 200
Technical Skills: MS Office - Excel, Word, PPT
Must have worked in Publically
Traded Company (privately held)

Pharma Guildelines
Auditing / SOX experience
