Job Description


We are seeking a full-time stock administrator to take responsibility for managing all aspects of our equity plans. This role is a great opportunity for a skilled, hands-on stock professional to apply his or her experience in a growing, global organization that appreciates the importance of effective stock administration. The ideal candidate will be well versed in the requirements around good stock practices, proficient with stock software systems, detail oriented and comfortable interacting with people from all corners of the globe and our organization.


Responsibilities:


Administer our global stock-based compensation plans, including stock option grants, exercises, restricted stock award, participant terminations and updating employee account information, all using commercial stock administration software system.
Reconcile equity award activity among the company's records and the transfer agent on an ongoing basis.
Ensure accurate data input into software system and maintain all paper and electronic files related to equity administration.
Monitor the daily administration by our designated ESPP brokers to ensure the accuracy and completeness of all transactions and reporting.
Work with HR on ESPP processes as well as completing requested reports, analyses, and support materials.
Stay abreast of global stock administration to ensure that our company is in compliance with applicable legal and tax regulations where we operate.
Provide support and education to employees related to equity.
Provide timely and accurate reporting to support our company's annual report, proxy, federal and state income tax filings, SEC filings, payroll and Sarbanes-Oxley testing.
Track grant acceptances, terminations, disqualifying dispositions, 10b5-1 plan sales.
Prepare Section 16 SEC reports (process forms 3, 4 and 5).
Provide required monthly and quarterly reports for accounting, finance, tax, human resources and payroll departments, including interfacing with external and internal auditors during audit periods.
Provide annual statements to employees/IRS.
Assist finance and legal departments with special projects.


Desired Skills & Experience


Minimum 5 years experience of increasing responsibility over day-to-day administration of equity incentive stock plans and employee stock purchase plans in a public company environment. Includes processing option exercises, grant preparation, interface with captive brokers, payroll, legal, HR and finance.
Bachelor's degree or equivalent experience.
CEP (Certified Equity Professional) preferred or in the process of completion.
Advanced CapMx, Equity Edge and Microsoft Office skills.
Ability to communicate with employees of all levels (including executive management and Board of Directors) and explain stock option, RSU and ESPP information.
Knowledge of SEC regulations related to stock trading, including familiarity with Section 16 filings.
Must possess strong customer service approach/mindset.
Excellent project management and organizational skills; resourceful and detail-oriented.
Maintains diplomacy, confidentiality and neutrality.
Self-motivated and detail oriented with exceptional organizational, quantitative and analytical skills.
Demonstrated ability to exercise integrity and sound judgment in complex and sensitive situations
