Position Summary
Manages the administration and compliance of employee stock option and stock purchase programs company-wide. Provides stock plan analysis to executive staff for internal equity. Evaluates best practices and developments in applicable laws to drive changes in stock plan implementation. Partners with Legal and Finance to ensure ongoing compliance and for internal and external reporting. Partners with HR, HRIS, and IT teams to develop reporting systems and internal review processes. Manages vendor relationships and develops employee communication and education programs in partnership with the HR Department.


Primary Duties / Responsibilities
• Research, analyze and measure equity compensation solutions to ensure competitive equity practices. Conduct complex analysis in support of talent management objectives and for reporting and costing purposes to ensure programs are affordable to the company, meet shareholder limitations on burn rates and other applicable limitations, and provide maximum ROI.
• Develop and conduct equity compensation training programs to familiarize managers and other employees with key elements of the company's equity compensation programs.
• Evaluate equity programs, keep abreast of legislation, trends, advances and/or new technology and make recommendations for changes and improvements.
• Partner with HRIS team to ensure continuous improvement of process and technology in support of equity compensation programs
• Consult with business and HR partners. Provide compensation expertise and guidance
• Drive and participate in the global stock option grant cycle administration process
• Manage vendor relationship(s) with Equity and Deferred Compensation program vendors.
• Manage the equity compensation audit process and SOX testing related to all equity-based incentive plans (with finance, internal audit and external auditors.)
• Oversee the resolution of technical issues related to equity programs, acting as Subject Matter Expert with knowledge of equity database, reporting requirement, stock valuation methods, and legal and plan requirements
• Manage preparation of all stock option and restricted stock reporting including monthly, quarterly, and ad hoc reporting for internal sources including, but not limited to, Legal, Tax, Financial Reporting, Accounting, Human Resources, Internal Audit and external sources including, but not limited to, Execution Brokers, Outside Auditors and plan participants.
• Compile and prepare a number of reports for annual proxy reporting
• Creation and management of stock budgets
• Participate in special projects as assigned, including executive equity compensation analysis and M&A activities.


Qualifications (knowledge, skills, abilities)
• Expert knowledge in equity compensation design, application and theory to include strong knowledge of regulatory compliance standards
• Knowledge of equity executive compensation, trends, legal requirements; FAS 123 and disclosures
• Excellent analytical and organization skills with the ability to work independently and interact effectively with all levels of management
• Ability to manage to deadlines and multiple priorities work under pressure and handle confidential information appropriately
• Ability to obtain, present and discuss information and recommendations that may be controversial in nature
• Capable of leading or influencing processes and decision making at a senior level.
• Strong project management skills, with the ability to prioritize and manage multiple assignments in a fast-paced environment.
• Excellent analytical skills, expert in excel and knowledgeable in all MS Office products. SAP experience a plus.
• Strong written, verbal and presentation skills, strong analytical and computer skills
• Outstanding attention to detail


Functional / Technical Requirements (include Education, Certifications, Training)
• Bachelor's Degree in Business, HR or equivalent. MBA and CEP designation preferred
• Minimum of 8 years experience focusing in compensation plan design, job analysis, market pricing, incentives and stock options
• Previous experience managing equity compensation programs, global experience preferred
• Experience working in a team-oriented, fast-paced environment
