Equity Administration Manager


Position Title Manager, Equity Administration Department: Accounting
Date: 12-22-2011 Location: Lexington, MA
Reports to: Senior Manager, Payroll & Equity Admin Supervises: N/A



Position Summary:
The Manager, Equity Administration is responsible to manage the daily administration of all of Cubist's Equity Plans. Working collaboratively with Finance, Human Resources, Legal and Merrill Lynch, this role will ensure the integrity of the data in the equity compensation database and the BenefitsOnLine broker platform. This professional will partner with department leaders to identify, analyze and implement strategic solutions in support of the organizations equity compensation goals and objectives.


Key Responsibilities:
• Maintain the integrity of Cubist's equity plans by processing data feeds and reconciling all activity impacting the plans, such as new grants, purchases, exercise or vesting transactions and cancellations.
• Monitor the daily administration by our designated LTI and ESPP brokers to ensure the accuracy and completeness of all transactions and reporting.
• Work with HR on annual LTI process as well as completing requested reports, analyses, and support materials
• Continually audit to ensure that data in Transcentive Express Options database is aligned with data housed in BenefitsOnLine broker platform.
• Process annual RSU Lapses.
• Provide analysis and support to Sr. Manager, Payroll & Equity for special process improvement and product enhancement projects involving our program vendors.
• Manage administration of Employee Stock Purchase Plan (2 annual purchases/enrollment periods), including reporting to Technical Accounting for ASC718 valuation.
• Quarterly, audit data from vendor and provide Payroll with all ESPP disposition income for inclusion in W-2.
• Coordinate entry of all daily option exercise income and annual RSU Lapse Income into ADP Payroll.
• Prepare authorization memos for monthly stock grants and import files for all stock grants.
• Process all terminations and other status changes in the equity compensation database.
• Manage adhoc employee stock plan requests in a timely and professional manner.
• Reconcile common shares outstanding with transfer agent.
• Provide timely and accurate reporting to support Cubist's annual report, proxy, federal and state income tax filings, SEC filings, payroll and Sarbanes-Oxley ("SOX") testing.
• Maintain desktop procedures, SOX controls.
• Interact with internal and external auditors in support of quarterly review and annual audits.
• May perform other ad hoc / special projects as assigned.
Minimum Basic Qualifications:
• Bachelors Degree in related discipline (Accounting / Finance Preferred)
• 5+ years experience in Stock Administration
• Superior Analytical and Advanced Excel Skills


Preferred Qualifications and Experience:
• Certified Equity Professional (CEP) designation
• Technically skilled in Express Options and Merrill Lynch Benefits On-Line
• Understanding of the entire equity process cycle, including interdependencies between Legal, Tax, Treasury, Accounting, Payroll and Human Resources

• Strong technical knowledge of stock compensation, including exceptional attention to detail.
• Proven ability to work well in a deadline-driven, fast-paced environment and ability to adjust to changing priorities.
• Promote teamwork by working collaboratively with colleagues for the good of the business overall.
• Proven capability to focus on delivering excellent results and continually look for ways to improve processes.
• Strong customer service focus and ability to effectively interact with all levels of management and employees.
• Demonstrate the ability to communicate clearly, concisely, and effectively to express information in both written and oral context.
