Manager of Equity Compensation
Location: Berwyn, PA
Manage
the  ongoing administration of the company's global equity programs
including the administration of stock options, restricted stock,
restricted stock units, performance-based awards, Employee Stock
Purchase Plan, and similar programs.
Principal Responsibilities:    

• Ensure
  stock awards are administered in accordance with the terms and
  conditions of the awards, the governing Stock Incentive Plans, and
  internal processes and procedures.  


• Work
  with Tax and Legal to ensure global securities and tax law compliance,
  including due diligence in new territories prior to granting of awards
  to new participants. 


• Work
  with other areas of HR, Accounting, Payroll, Tax, Legal and the third
  party stock plan administrator to develop and enhance procedures
  associated with stock awards.   


• Coordinate
  ESPP implementation with local HR contacts in countries
  where feasible.  Assist in plan communication, enrollment and
  processing. 


• Develop and deliver timely communications related to stock awards, including grant notification, terms and vesting events.


• Monitor
  stock transactions impacting the administration of stock awards,
  including but not limited to, grants dispositions for proper
  documentation and file maintenance.


• Serve
  as primary contact for audit requests and assist in establishing and
  maintaining control procedures associated with stock plan
  administration.


• Generate
  annual Long-term Incentive award expenditure forecasting, share usage
  monitoring and supporting analysis (i.e. burn rate, overhang,
  etc.).      


• Manage
  the day to day relationship with the third party stock plan
  administrator, including upgrades and system enhancements, and
  developing employee education and communications materials.


• Assist with special projects and transactions as assigned.

Requirements:

• Bachelor's degree in Finance, Economics, Mathematics, Systems or related field. MBA or Master's in related field is preferred. 


• 5 -7 years' stock plan management and administration experience.


• Certified Equity Professional (CEP) desirable.


• Working knowledge of legal, tax and accounting implications associated with equity compensation.


• Experience with third-party vendor administration and relations management.


• Excellent written and oral communications skills with all levels of personnel.


• Strong
  organizational skills and attention to detail.  Demonstrated ability to
  multitask in a fast-paced environment and achieve results.


• Ability
  to identify trends and issues and independently work with other
  departments and third-party resources to identify and implement
  solutions.


• Advanced
  level proficiency with Microsoft Excel required. Working knowledge of
  PowerPoint and Word. Experience with Access is a plus.
