Stock Plan Administrator


Pandora Media is seeking an experienced Stock Plan Administrator. The position is very visible as the Company is in the process of completing an IPO and equity awards are a significant component of compensation. This role will be involved in the dynamic business environment of the Company as it continues to grow at a rapid rate. This role involves complex issues related to delivering equity compensation and requires a highly organized and efficient leader to support the needs of the business while creating a simple and positive experience for employees. This role will also serve as the primary backup for our payroll administrator and finance liaison to our 401K provider.


Responsibilities:


Management of all Stock Option grants and exercises, Restricted Stock Units (RSUs) and Employee Stock Purchase Plans (ESPP).
Prepare and distribute electronic and paper grant agreement packages.
Serves as backup to payroll administrator, which involves processing and reviewing day-to-day payroll transactions.
Coordinate day-to-day 401K administration, reporting and support annual 401K audit.
Daily, monthly, quarterly and annual reporting, including year-end proxy reporting.
Prepare and distribute financial disclosure and FAS 123R reports as needed.
Create and maintain SOX 404 compliance.
Manage the Company's stock administration vendors, including daily interaction when handling day-to-day exercise and release activities, coordinating system updates and monitoring service.
Work with various corporate departments to provide required reporting for payroll, tax and accounting.
Answer employee inquiries and resolve problems regarding stock awards.
Partner with legal on management of employee trading plans and open trading windows.
Partner with human resources on management of grants for new hires and merit grants.
Assist with transition to external equity service providers.
Ad hoc research and problem/dispute resolution.
Ad-hoc tax reporting audit requests for subsidiary and tax contacts.
Desired Skills & Experience


Experience:


3-5 years of experience in equity compensation or equivalent specific related field such as finance or accounting in a public company, with significant exposure to stock management.
High degree of accuracy and attention to detail.
The ability to work independently and handle multiple priorities under deadlines.
Bachelor's degree is required, a graduate degree or certification (CPA, CCP, CEP) is preferred.
