Our client provides advanced acquisition equipment, software, planning, and seismic processing services to the oil & gas industry. E&P companies and seismic acquisition contractors use our client's technologies and services to help generate images of the subsurface during exploration, exploitation, and production operations.
We are currently seeking qualified candidates for an Equity Compensation Plans Manager position. The qualified candidate will manage the daily administration and operation of equity-based incentive plans as well as possess knowledge of corporate and securities law, corporate governance and Board functions and financing transactions. This position is located in Houston, Texas.
As Equity Compensation Plans Manager, you will:
* Manage the administration of stock option, restricted stock and restricted stock unit transactions and records; prepare agreements and resolve issues regarding equity grants and programs
* Manage all stock option and restricted stock reporting including monthly, quarterly and ad hoc reporting for internal and external sources (Legal, Tax, Audit, Plan Trustees, Execution Brokers, Plan participants, etc.)
* Participate in the oversight of Insider Trading compliance
* Assist with SEC and other regulatory compliance activities (10-K, 10-Q, annual proxy, etc.); participate in audits and SOX testing related to all equity-based incentive plans
* Manage the design and implementation of broad-based and executive-level equity compensation plans that incorporate nonqualified stock options, restricted stock and restricted stock unit awards, incentive stock options, performance shares and stock appreciation rights, as well as employee stock purchase plans
* Participate on special equity/treasury projects
Required skills and qualifications:
* Bachelor's degree is required; Certified Equity Professional (CEP) certification preferred
* 5-7 years experience in stock plan administration
* Proficiency in equity administration software
