Job Summary:


Coordinate executive compensation department processes, including preparing materials for the Board of Directors, administering Deferred Compensation program, leading the proxy data analysis and accumulation process, maintain plan documentation, and stay abreast of SEC and IRS guidance as it pertains to these programs. Also, provide analytical and administrative support while helping to ensure that all programs are carried out in accordance with both Con-way's policies and procedures and all federal and state laws.



Assist with all facets of non-qualified benefit plan administration including stock plan administration and other Director and Executive compensation plans as well as in depth knowledge of SEC and IRS regulations, such as 409A and proxy disclosure guidelines


Manage deferred compensation plan administration and communications


Sarbanes-Oxley compliance filing and/or review


Manage executive packages and mailings, including data analysis and review (e.g., quarterly executive statements, deferred compensation statements and communications, etc.)


Manage outside vendors in regards to communication materials


Prepare Compensation Committee Book and coordinate distribution process.


Responsible for proxy preparation and control development as well as oversight of controls and subsequent data submission


Responsibility for monthly accrual process and GL reconciliation for exec comp accounts


Seek out and make suggestions for process improvements in a team environment


Position may be considered at a more senior/manager level based on skills and experience

Incumbent makes recommendations, and performs work independently


Work under established guidelines and controls, including all federal and state laws, guidelines, and regulations



Accountability for exceptional quality and accuracy


Ability to write clear and concise communications and effectively present to all levels of management


Proven project management skills or commensurate ability to coordinate multi-functional workgroups


Excellent PC skills, including intermediate to advanced knowledge of MS Office (Excel, Word, Powerpoint Windows, Access, etc.)


Working knowledge of HRIS/payroll systems (Peoplesoft preferred)


Possess superior multi-tasking abilities, be extremely detail-oriented, motivated and a self-starter.


Knowledge of all aspects of Executive Compensation policies and procedures preferred


Positive attitude and ability to stay calm and work well with all levels in an organization



Bachelors Degree in finance / accounting or human resources required, with 5-7 / 7-10 years of related experience, depending on level


CEP level I designation preferred
