Key responsibilities

     Coordinate administration and communication for long term equity

     incentive plan and non-qualified deferral plan. Includes updating,

     creating, and improving communication pieces delivered to

     participants. Manage the day to day administration needs.

     Serve as member of the yearly proxy team.  Leads the team on all

     matters related to compensation and participate in all phases of

     gathering the data for the equity and compensation tables.

     Serve as liaison with our third party equity incentive plan

     administrator and deferred compensation plan administrator.

     Responsible for data integrity and continuous process

     improvements.

     Special Projects (ie, review and amend plan documents to keep up with

     current    legislation, research new plan design concepts and

     performance metrics, maintain information on trends)

     Work closely with the broad based compensation team on special

     projects as needed. Assist with the collection of data required for

     Compensation Committee meetings



Required skills/experience

     Bachelors Degree

     Minimum of 8 years experience working in a Human Resources/Benefits

     Department setting

     Minimum of 5-7 years working in a Compensation role with strong

     knowledge of equity plans (Options, SARs, Restricted Stock, and

     Performance Shares).

     Non-qualified plan experience

     Equity long term incentive plan experience

     Proficient in Excel and Word



Desired skills/experience

     Previous management experience desired

     General broad based Compensation experience desired

     Access and Lawson

     Track record of preparing plan communication for participants

     Experience with annual proxy work
