 This position will report to Treasury and be a key member of the finance department at Intermec's world headquarters. The requirements of the position include a minimum of 5+ years in stock compensation administration, a strong desire to develop professionally and a rigorous attention to detail.


 The candidate should possess strong written and oral communication skills and the ability to team with other member of the


finance and human resource departments in a professional environment. The candidate must be detail oriented and organized.


 


The position will have lead responsibility for several aspects of Intermec's global stock compensation programs within a reporting environment that complies with the requirements of Sarbanes Oxley.


 


A successful candidate will represent Intermec's corporate headquarters with professionalism in all interactions with Intermec's US employees. The Candidate will strive to ensure compliance with tax laws and related SOX requirements. This position also requires a candidate that will keep abreast of the changing regulatory and payroll tax environment for an evolving business.

JOB SUMMARY:
The Global Stock Plan Administrator position is responsible for administration of activity under stock compensation and employee stock purchase plans. The position requires expertise in equity compensation and taxation and an understanding of equity accounting requirements.



  • Responsible for all end to end processes related to stock compensation transactions for global employee base

  • Vendor Management of stock administration business partners

  • Equity Compensation reporting for financial statement purposes

  • Maintenance of the Equity Compensation database

  • Responsible for company stock transactions and transfer agent activities


• Compliance with internal controls, governance rules and applicable laws and regulations in the management of stock plan administration and company stock activities


This job must be carried out in compliance with Intermec's Standards of Conduct.


PRINCIPAL RESPONSIBILITIES, DUTIES & TASKS:



  • Administer equity compensation grants and awards, including:


o Process grants and awards with external broker and stock plan database, including grant and award agreements and acceptance
o Maintain master files of grant and award documentation, including forms documenting tax settlement selections
o Support option exercise process with external broker and internal clearance process (clearance required for insiders only)
o Process award vesting with external broker
o Ensure equity transactions (exercises, vesting, terminations and cancellations) are processed timely by Payroll and in stock plan database
o Process Director compensation in accordance with Corporate Secretary instruction
o Maintenance of stock plan database
o Report taxable income to applicable payroll vendors and finance contacts
o Manage communications and data collection processes for global recipients of grants and awards to ensure proper tax withholding and reporting is completed by the local payroll vendors
o Maintain global tax jurisdictions and rates in the stock plan database
o Manage vendor relationships with external broker(s), including monitoring service levels with agreements, completing periodic business reviews, coordinating system updates and testing to comply with changing regulations or software upgrades
o Respond to complex employee and Director inquiries on equity grants and awards that have been unfulfilled by external stock plan vendors



  • Administer ESPP purchases in accordance with plan requirements

  • Monitor Sec 16 activity with Corporate Secretary and submit required reporting for compliance

  • Reconciliation and reporting of stock plan activity quarterly and for special projects

  • Participate in stock plan design projects administered by Human Resources

  • Support equity compensation grants and awards process managed by Human Resources

  • Track employees, officers and Directors subject to insider trading restrictions with Corporate Secretary and ensure brokerage accounts are restricted or unrestricted during open or closed trading windows

  • Administer company stock activity with Transfer Agent, including:


o Support share issuance processing with Transfer Agent
o Reconcile outstanding shares quarterly and activity in share issuance with stock plan and other activity
o Communicate share information to accounting, tax and management
o Manage vendor relationship with Transfer Agent



  • Ad-hoc audit requests for subsidiary and tax finance teams

  • Preparation of executive and Director equity compensation disclosures for proxy statement

  • Must follow all state, local, and federal laws and regulations, as well as embrace Intermec core values and initiatives.


• Must remain aware of regulatory responsibilities and remain current in technical areas


Requirements:
The minimum qualifications listed below are representative of the knowledge, skills and abilities needed to perform this job successfully. Depending on the job level, equivalent job-related experience may be substituted for an educational degree.

  • Experience managing a stock plan administration function

  • Analytical skills


• Project management experience


Education:



  • Requires a 4-year degree in Business, Finance, Accounting, or related industrial field.


• Training in current regulations.


 


Licenses/Certifications:
• CEP a plus.


 


Experience:
• Minimum five years experience in the stock plan administration field.


Skills:



  • Excellent communication skills with demonstrated experience communicating with executive management and employees

  • Manage cross functional projects

  • Proficient with Excel and Word


• Experience with Equity Edge a plus
