Associate Manager of Stock Plan Administration will administer stock compensation programs, including stock options, restricted and performance stock/unit plans, stock recognition plan and Employee Stock Purchase Plan (ESPP); answer employee questions and resolve problems; work with management on improvement recommendations; maintain procedures and processes for accurate and timely reporting, financial compliance, governance and participant communication.  Position reports to Stock Plan Manager.


 


Responsibilities:



  • § Process stock option exercises and restricted/performance stock/units vests in a timely and accurate manner

  • § Process purchases for ESPP and reconciles activity with plan administrator and transfer agent

  • § Process annual and off-cycle grants to employees and Board of Directors

  • § Ensure stock awards are administered in accordance with the terms and conditions of the awards, the governing plans and internal processes and procedures

  • § Generate, audit, and analyze internal reports and ensures accuracy

  • § Identify and/or lead implementation of process improvements for increased efficiencies

  • § Participate in industry associations and continuing education

  • § Partner with the Stock Plan Manager and Human Resources to discuss improvements in employee communication and education for the Company Stock Plans

  • § Manage relationships with brokers, vendors, accountants, advisors, transfer agent and service providers on stock plan issues

  • § Communicate insider trading window dates and procedures to company insiders and broker as the need arises

  • § Provide stock information for SEC Forms and Filings - 10Q, 10K and Proxy Statement, etc

  • § Effectively collaborate with Finance, Human Resources, Legal, Payroll, Tax and Treasury

  • § Responsible for quarterly updates to the Policy & Procedure Handbook for Stock Plan Administration

  • § Responsible for ensuring interface/file feeds from Oracle to stock administration recordkeeping system is current and collaborate with HRMS on any items that need problem resolution

  • § Train team members on various stock plan administration processes as needed

  • § Assist with special projects and transactions as assigned


 


Job Qualifications:



  • § 2+ years experience with stock plan administration or related stock plan administration consulting or third-party administrator experience

  • § Experience with global multinational employer issuing multiple stock programs and designs

  • § CEP (Certified Equity Professional) certification preferred

  • § Knowledge of Section 16

  • § Knowledge of FAS 123R

  • § Knowledge of U.S. accounting, legal, disclosure and tax issues

  • § Familiarity with non-U.S. tax, securities, and legal issues pertaining to stock plans

  • § Demonstrated client focus and ability to build relationships and trust with various groups

  • § Knowledge of Microsoft suite of applications, stock plan administration software, etc.

  • § Ability to work in a fast-paced and changing environment

  • § Excellent communication skills, both oral and written

  • § Strong attention to detail and accuracy

  • § Experience with or working knowledge of multiple stock plan vendors and third party administrators preferred

  • § Contribute individually with minimal supervision within a team oriented environment
