Location:

Summary: 
Administer domestic and international equity programs, ensuring compliance with state, federal and foreign regulations and securities laws.  Act as primary interface with stock brokerage firm(s) managing employee equity accounts and with Company's transfer agent for all share issuances.  Support legal and finance teams with respect to public company reporting, particularly related to proxy statements. Also provide support in areas including corporate governance.


Qualification/Skills/Experience Requirements:


Education:   
Bachelor Degree


Experience:  
• Minimum of 5 - 7 years of public company stock plan administration experience handling daily operations, reporting, audit/reconciliation, and participant customer service



  • Corporate paralegal experience a plus


Skills:
• Working knowledge of legal, tax and accounting rules associated with equity compensation;



  • Excellent written and verbal communications skills;

  • Ability to interface effectively with all levels of company employees;

  • Ability to demonstrate judgment, tact and diplomacy in dealing with internal and external customers as well the ability to handle confidential and proprietary information;

  • Ability to identify and analyze problems using sound judgment and determine solutions in order to effectively resolve issues and accomplish goals;

  • Attention to detail;

  • Strong organizational skills;

  • Ability to multi-task in a fast-paced environment and achieve results;

  • Must possess self-motivation, enthusiasm, and a positive attitude and perform as a team player;

  • Proficiency with MS Office, databases, file imports/exports, report design and creation, and data manipulation/formatting


Licensures, Certifications:  Certified Equity Professional (CEP)


Essential Duties and Responsibilites:



  • Administer domestic and international equity (option/RSU/ESPP) programs, ensuring compliance with state, federal and foreign regulations and securities laws;

  • Maintaining all equity award related data in database (in-house or outsourced to be determined) and periodically validate accuracy of database information;

  • Serve as primary liaison with brokerage firm(s) maintaining employee equity account and with Company's transfer agent;

  • Ensure equity awards are administered in accordance with the terms and conditions of the awards, the governing stock incentive plans, and internal processes and procedures;

  • Work with other areas of Legal, HR, Accounting, Payroll, Tax and the third party stock plan administrator to develop and enhance procedures associated with equity awards and research and resolve historical issues;

  • Develop and deliver timely communications related to stock awards, including grant notification, terms and vesting events;

  • Serve as primary contact for audit requests and assist in establishing and maintaining control procedures associated with stock plan administration;

  • Provide the payroll team with timely and accurate stock transaction information;

  • Perform month-end analysis and reconciliation, including grant statements and transaction activities;

  • Coordinate transaction and grants with other departments (financial reporting, tax, accounting and payroll);

  • Generate reports from the stock administration system and review for accuracy;

  • Assist in maintenance of documentation of equity-related policies, procedures and controls;

  • Process daily stock transaction: exercise, sale, grant, termination, etc.

  • Work with executives and others to set up 10b5-1 selling plans

  • Process all 10b5-1 transactions and track insiders

  • Make timely and accurate Section 16 reports; enable timely and accurate securities filings in foreign jurisdictions

  • Assist with all aspects of proxy statement preparation, including preparing director and officer questionnaires; liaising with Broadridge, the transfer agent, proxy solicitor and financial printer; preparing compensation tables, preparing annual meeting documents and coordinating the annual meeting of shareholders;

  • Provide input in the design and delivery of equity incentive plans and awards;


 



  • Monitor share usage and reserve levels
