The
Stock Plan Analyst position is primarily responsible for
reporting/reconciliation, vendor management and compliance of all end to
end processes related to stock transactions (RSU vests and stock option
exercises) for Microsoft’s global stock plans. The position requires
deep expertise in equity compensation and taxation. The
responsibilities of the position include, but are not limited to:

responsibilities of the position include, but are not limited to:

Manage vendor relationships for Microsoft’s brokers, including
monitoring service level agreements, participating in quarterly business
reviews, coordinating system updates and testing to comply with
changing regulations or software upgrades, etc.

In partnership with Microsoft Legal, track employees and officers
subject to insider trading restrictions and ensure brokerage accounts
are restricted or unrestricted during open or closed trading windows.

Manage communications and data collection processes for US
citizen/permanent resident population outside the US to ensure proper
tax withholding and reporting.

Partner with external accounting firm to ensure accurate tracking and
stock taxation for Microsoft’s International Assignee program, including
reporting and import/maintenance of tax exceptions for assignees.

Reconcile stock transactions with brokers to ensure accurate income
reporting/withholding and payment to employees and issue shares to
broker accounts via transfer agent.

Prepare and reconcile payroll files and research and resolve
discrepancies for US payrolls. Also track and report non-employee,
estate or divorce transactions requiring Form 1099-MISC.

· Responsible for maintenance of global tax jurisdictions and rates in the stock administration system.

Execute monthly tax reporting and funding to non-US subsidiaries,
including both internal cash transfer process and via wire requests to
ensure proper global payroll and tax reporting.

· Ad-hoc tax reporting audit requests for subsidiary and tax contacts.
· Reconcile Microsoft outstanding shares at month-end and prepare tax and accounting reports at quarter-end.

Conduct quarterly business process regression testing (BPRT), including
developing new test cases as needed for new stock system functionality
and acting as liaison between Solutions Delivery and Stock team on all
systems related issues across the team.

· Respond to complex tier 2 inquiries from employees, Payroll, vendors, etc. on primarily tax-related issues.
Requirements:
· 3 - 5 years preferably in equity compensation or equivalent specific related finance or business experience required.
· CEP strongly preferred.
·
Extreme attention to detail is a critical element to this position
given the level of corporate exposure and regulatory liability
associated with equity programs.

The position is in frequent contact with vendors, internal and external
business partners and employees and requires strong collaboration
skills and proven written and verbal communication skills.

· Must be highly skilled in Excel and Access.
· Vendor management experience preferred.
· Must be flexible and be able to work under pressure and within short time constraints.
· Bachelor's degree in business, finance, human resources, or related field.
