This position
manages the administrative processes for the employee stock purchase
plan and equity grants; ensures accurate data for individual purchases,
awards, and internal and external reports; and coordinates global
compliance for purchase and equity awards.
Responsibilities/Expectations:
Manages outsourced broker/administrator vendor relationship within
contracted services requirements.
Partners with legal,
accounting, tax and other functions such as payroll to ensure domestic
and international compliance related to securities, accounting, tax, and
foreign exchange requirements.
Supervises the employee
stock purchase plan, including enrollment, purchase, settlement,
international compliance, and post purchase administration and
reporting.
Supervises the delivery of all grants and award
agreements.
Ensures data and process quality and compliance with
SOX audit procedures, accounting and international requirements.
Includes
oversight and reconciliation of data file transmissions to third party
administrator and systemic problem resolution.
Ensures the
grant database application software is timely and correctly maintained
to process error-free grants and award agreements.
Partners with
outsourced HRIS vendor to develop and prioritize application updates to
address changes in processes, plan design, etc.
Supervises efficient
and accurate post grant administration, including administration plan
set up, reports for exercise/sale, release, tax, accounting, payroll,
legal and ad hoc inquiries, and SOX requirements.
Oversees
the development and delivery of purchase and equity training and website
communication materials for HR, managers and employees.
Ensures
appropriate customer service is provided to employees through outsourced
vendors or internal resources.
Represents equity
administration during global rewards planning
Provides
administrative insight for employee stock purchase and equity plans and
program development.
Supervises and develops staff,
including performance reviews and rewards recommendations.
May assist with the development of equity grant guidelines and periodic
report of shares available for grant.
Knowledge Skills: 4+ years
in a supervisory or managerial position (or equivalent) with
multi-national Fortune 500 companies that have global employee stock
purchase and equity plans.
Education: Bachelors degree (or
equivalent) in accounting, finance, business or human resources.
Professional
certification from the CEPI (Certified Equity Professional Institute)
or World at Work is helpful.
Areas of expertise:
International employee stock purchase and equity plan administration;
interaction with legal, accounting, tax and treasury functions on
compliance and design issues; vendor management; communications; process
flows; database maintenance/use; report retrieval logic; and
supervision or management experience.
Understanding of basic
compensation principals preferred.
Strong knowledge of:
International employee stock purchase and equity plan design and
administration, especially within a complex administrative environment;
vendor management; process flows and data quality and database
management.
Hands-on experience ensuring compliance with the
following functions: accounting, tax, audit, and legal.
Basic
Qualifications: Bachelor's degree 4+ years experience managing stock
options, RSUs, Employee Stock Purchase Plan or equity plans.
