Job Description

Manages the administration and compliance of employee stock
option/awards and/or stock purchase programs company-wide. Provides
stock plan analysis to executive staff for internal equity. Evaluates
best practices and developments in applicable laws to drive changes in
stock plan implementation. Partners with Legal and Finance to ensure
ongoing compliance and for internal and external reporting. Partners
with HR, HRIS, and IT teams to develop reporting systems and internal
review processes. Manages vendor relationships and develops employee
communication and education programs in partnership with the HR
Department. Assists in the study and analysis of compensation programs
designed exclusively for the Companys executives and the Board of
Directors.

Skills

Administration and management of all daily operations of the
Companys stock and long-term incentive plans.


Coordinating with the Companys 3rd party vendor, payroll, and accounting
to process all grants and stock transactions (vesting, exercises,
cancellations, issuances, etc.)


Responsible for all stock plan reporting including monthly and quarterly
reconciliations


Ensure accuracy and data integrity of file transfers to/from the HRIS
system and the 3rd party vendor


Track and maintain appropriate approvals and documentation for SOX
controls and audit.


Prepare, update and distribute award documentation; monitor grant
agreement acceptance (either online, manual or both)


Serve as point of contact for all stock plan inquiries.


Process payment of retainer and meeting fees for non-employee directors
and ensure distribution of annual 1099 forms.


In conjunction with 3rd party vendor, administer all 10b5-1 trading
plans.


Maintain personnel files for all executive committee members, including
maintenance of all employment and other agreements.
