Job Description

Works with supervisor to administer employee stock option
plans. Processes transactions with broker for employees exercising
options; initiates option grants for new hires. Performs moderately
complex analyses and reviews of the company’s stock plan. Responsible
for answering questions and addressing any issues from company
employees. Operates under general supervision. Typically reports to the
Stock Plan Administration Manager. Maintains employee stock database by
updating information and running monthly/quarterly reports. Prepares
summary reports, grant agreements, and distribution of grant agreements.
Domestic or international travel may be required.




ESSENTIAL DUTIES & RESPONSIBILITIES:




Assists with supervisor to administer the Company’s Stock Plans
Administration Program including the following:




Grant processing




Record keeping: addresses and terminations




Exercise processing: distribution of confirmations




Terminations/cancellation processing




Accounting, payroll and tax reports preparation




Audits and reconciliation reports preparation




Coordination with transfer agents and brokers, reconciling “Outstanding”
with transfer agent




Update online documentation on the Company‘s intranet site




Keep up with industry updates (legal, accounting, SEC, etc.)




Work with Finance for reporting purposes for earnings






Prepare and Distribute Stock Plans Communication Materials




Learn and train to track Insider Trading and Reporting




Monitoring




Forms 3, 4 and 5 preparation and filing via EDGAR




Form 144 preparation and filing




Record keeping (updating insider list, informing broker for blocking
purposes)




Updating the online Insider Trading Clearance Request application






Learn to assist with the Executive Compensation Plan Program.




Stock options




Restricted stock/Phantom Stock




Other bonus or incentive plans






Work with supervisor to prepare information and reports regarding
executive compensation for inclusion in proxy statement and annual
report.




Work with supervisor to administer the Company’s Employee Stock Purchase
Plan (ESPP)




Enrollments




Record keeping




Transactional processing (coordinate or effect stock purchases and
sales)




Termination/disenrollment processing




Audits and reconciliation reports preparation




Periodic plan statements to participants




Coordination with transfer agent, brokers




Update the online ESPP date and price lookup function






Assists with the coordination of all company actions and requirements
related to Stock Plans Administration




Tax-disposition surveys, distribution of tax records at year end

S-8 Registration statements (tracking and monitoring of share issuances)






Process transactions with the broker for employees exercising options.




Initiate option grants for new hires




Answer employee questions and resolve problems regarding stock option
grants and ESPP




Maintain employee stock database (also keep up on software updates)




Update information and run monthly/quarterly reports (domestic and
international)




Prepare summary reports




Prepare and distribute grant agreements




Provide on-going direction and training to staff when necessary
