eHarmony
is recruiting for a Stock Plan Administrator to manage the company’s
employee equity plan, including initial equity awards, grants,
terminations, exercises and Restricted Stock Unit (RSU) releases on a
worldwide basis, along with certain external and internal reporting and
governance responsibilities.

ESSENTIAL FUNCTIONS:
- Manage administration and compliance of all eHarmony employee equity compensation programs, including:
- processing daily stock option exercises
- preparing and processing monthly stock option grants and restricted stock awards
- preparing month-end exercise and tax withholding reports and
- reconciling stock activity to verify all stock transactions to source documents
- Maintain Equity Edge stock administration database
- Provide stock plan analysis and reporting to legal and executive management teams
- Gather
data as required for projects and reports as needed (e.g. annual
proxy, vesting acceleration, SOX audits, acquisition, international and
reporting requirements)
- Respond to all employee and former employee questions pertaining to stock
- Develop and conduct ongoing employee communication and education programs with help of outside counsel
- Assist with internal and external reporting compliance, as required
- Assist with integration of acquisition companies as needed
- Establish and manage equity programs for international subsidiaries, as required
- Assist with capitalization table
- Assist
with preparation of Board minutes and corporate minute book maintenance
for the company and international entities

JOB QUALIFICATIONS:
- 5+ years experience in equity plan administration, preferably at a technology company
- Bachelor's Degree or equivalent experience
- SOX 404 compliance knowledge
- Proficient in Equity Edge, Microsoft Excel, and Word
- Excellent analytical, written and verbal communication skills
- Ability to work independently
- Excellent organizational skills, sound judgment and attention to detail
- Ability to effectively work with all levels within the company, including executive management
- Ability
to identify and analyze problems using sound judgment and determine
solutions in order to effectively resolve issues and accomplish goals
- Knowledge of FAS-123R, FAS-123, 409A and other equity financial accounting and tax issues preferred
- Certified Equity Professional (CEP) designation preferred.
