Position Summary: | |
The Role: We are currently seeking a candidate with public company equity compensation administration experience to support Red Hat's global equity programs. This professional will assist with the design, roll-out, implementation and ongoing management of global incentive equity compensation programs and will have the opportunity to gain meaningful exposure to our business and grow as an integral member of the equity compensation team. Primary Responsibilities: • Employee point of contact for equity related questions • Review daily trade reports and partner with Tax and Payroll to process stock transactions • Maintain stock plan database • Manage quarterly equity grant process • Generate reports as needed for audit, tax and legal filings • Assist with audits, reviews and SOX 404 compliance • Work with internal and external tax advisors on global tax issues • Direct the Company's transfer agent in matters related to stock programs, such as plan reserve maintenance, restricted stock issuances, and book entry accounts and releases • Maintain share balance reserves for each plan • Coordinate global equity plan activity related to acquisitions • Work closely with third party stock plan administrator, Finance, Accounting and Legal to ensure plans are in compliance with plan design elements and service levels are satisfactory. • Perform various audit functions related to the grant process, monthly forfeitures, etc. • Assist with SEC filings for Section 16 officers • Conduct legal research regarding international equity related compliance issues Required Skills & Experience: • At least 5 years of public company equity compensation experience in-house or with a law firm • Bachelors Degree in Business, Finance, Accounting, Economics or related field • High proficiency with spreadsheets is a must (including advanced functions) • Knowledge and experience with progressive equity compensation plan design, administration and best practices • Detail-oriented, organized, able to multi-task in high-tech, fast-paced growth environment • Excellent verbal and written communication skills • Strong analytical skills and organizational skills with the ability to set priorities and meet deadlines. • Functional knowledge of US securities laws and reporting requirements applicable to equity-based incentive plans, including Section 16 Reporting • Experience developing and launching complex communications plans a plus • Project management experience a plus • Experience preparing proxy statements a plus |
