Job Summary
 

This position is directly responsible for the overall administration,
maintenance, and record keeping of United's equity compensation plans
to ensure stock information is accurate, and up to date for legal,
payroll, and financial reporting. Successful candidate must have proven
experience in defining, documenting, implementing, and managing cross
functional processes, with a strong attention to detail.
 
Responsibilities:



  • Administers
    the company's employee equity compensation plans, including preparing
    materials for new hire and existing employees, vesting events, and
    termination/cancellation processing

  • Coordinates with accounting, payroll and tax for reports preparation, audits and reconciliation reports preparation

  • Coordinates
    with third party administrator (TPA) to develop and disseminate  plan
    statement to participants, and provides equity information for the
    proxy statement and annual reporting

  • Partners with HR,
    Finance, Information Systems and other internal and external customers
    as needed to ensure that the equity compensation program runs smoothly
    and all mandated deadlines are met

  • Ensures legal compliance of the stock option plan according to SEC, IRS, and other country regulatory agencies' requirements

  • Monitors the share count registered under Form S-8 registration statement with the SEC

  • Prepares
    and files changes in beneficial ownership of UAL securities for Section
    16 officers with the SEC, including Form 3s and Form 4s and notices of
    intent to sell securities on Form 144s

  • Prepares and files the Company's Form 8-Ks with the Securities and Exchange Commission 

  • Assists
    in the preparation and dissemination of the Company's Form 10-Q and
    10-K filings with the Securities and Exchange Commission

  • Maintains equity ownership list for Section 16 officers

  • Liaisons with internal stockholders on compliance with IRS tax withholding and other requirements

  • Provides data files to TPA to ensure accurate and up-to-date systems records for legal, payroll, and financial reporting

  • Maintains the insider trading list and 10b5-1 Plans and communicates to participants as needed

  • Monitors equity compensation-related regulations and practices

  • Proactively
    monitors and makes recommendations based on knowledge of industry
    standards, competitive landscape, benchmarking data and service
    methodologies and models to maintain legal, cost effective and
    competitive practices

  • Manages corporate relationship with
    transfer agent and third party stock plan administrator to ensure legal
    compliance, and customer service

  • Ensures a thorough and
    effective communications program for eligible new hires and existing
    employees and ensures accurate and up to date communications

  • Handles
    employee equity questions, administration requests, and resolution of
    issues to ensure accurate, legal, and timely closure

  • Maintains an up-to-date knowledge of the legal environment pertaining to stock plans and ensures legal compliance


 


 


Job Requirements



Education:



  • Bachelor's degree with an emphasis in Business, Finance, or Human Resources

  • Certified Equity Compensation Professional designation (level 1, 2 and/or 3 preferred)


Experience:



  • Minimum 2 years experience in stock administration or related field

  • Solid knowledge of equity regulations and requirements

  • Global experience and regulatory knowledge preferred  

  • Knowledge
    of different types of equity compensation structures, including legal,
    tax, and accounting aspects (e.g., FAS123R, Rule 409A etc.)

  • Working knowledge of related legal requirements (e.g., Form 4).

  • Financial analysis, statistical analysis and worksheet modeling are preferred 


Skills:



  • Excellent communication skills - written, verbal, and presentation

  • Ability
    to work effectively and gain confidence with Senior Management,  Legal,
    Accounting, Payroll, Human Resources and external consultants

  • Strong project management skills
