Job Description

(This
is a “Growth Series” position. Person hired will be placed in the
appropriate title/grade level reflecting experience, skill, and
knowledge as determined by interview/hiring process.)

Responsible
for the analysis and administration (as well as the outsourcing and
third-party vendor management where applicable) of PSEG’s executive
compensation programs, including the Long Term Incentive Program, Stock
Ownership and Retention Policy, and Deferred Compensation Plans for
officers and directors. Support the design, development, implementation
and administration of LTIP components including Stock Options,
Restricted Stock, and Performance Shares. Partner with appropriate
internal departments with regard to 10b-5-1 sale elections,
coordinating tax impact of awards, and fulfillment of internal and
external reporting and recordkeeping requirements.

Coordinate
and provide information in support of 10-K and Proxy filings, including
the Proxy’s CD&A and Compensation Tables, coordinating requests to
third parties for data to support filings, and coordinating responses
from other internal departments for data requests.

Develop,
implement and maintain process for the administration of the Stock
Ownership and Retention Policy, including establishing clear policy
guidelines, process and work flows needed to monitor and update records.

Administer
the Deferred Compensation Plans, including providing election
information to eligible participants, notifying Payroll and third
parties of elections, quarterly reconciliations, and coordinating
distribution payments for terminated participants according to
elections.

Develop and distribute quarterly statements for
members of the Board of Directors showing a consolidated view of each
member’s PSEG Deferred Compensation, Equity Compensation and/or other
PSEG-held stock.

Coordinate gathering of responses to compensation questions to prepare for Annual Shareholders meeting.

Ensure Sarbanes-Oxley compliance, implementing controls as required.

May
participate in the design and analyses of executive compensation
programs, including consultation with HR client consultants and
executives.

Conduct executive salary surveys and other benchmarking.

Build
and maintain strong and effective working relationships with HR client
consultants, Treasury, Finance, Legal, Tax, Payroll and Benefits.

Requirements:

Bachelor’s degree or equivalent work experience (4 years compensation experience) required;

5
years of experience in the field of stock (equity) plans, including
experience with public companies, handling daily operations, reporting,
audit/reconciliation, and participant customer service;

Experience with different types of equity compensation structures, including legal, tax, and accounting aspects.

Understanding of databases and data file structures; strong computer literacy skills.
Experience with third-party vendor management and interaction (background working for or with an outsourcing vendor preferred).

Attention to detail, strong organizational skills, and ability to multi-task in a fast-paced environment.

Excellent
written and verbal communications, ability to work with different
departments and third-party resources to achieve mutual goals.

Relies on extensive experience and judgment to plan and accomplish goals.
A wide degree of creativity and latitude is expected.

Must have a valid driver's license.
Desired:

7 years executive compensation experience
Certified Equity Professional designation (CEP)
