Position Summary

Reporting to the Senior Vice President, Compensation, Benefits and HRIS,
the Vice President, Executive Compensation will be a critical member of
The Walt Disney Company (TWDC) EnterpriseHuman Resources team. The
successful candidate will have direct responsibility for the Company’s
global executive compensation strategy and will lead the design,
execution, administration and communication of executive, incentive and
equity programs worldwide. He/she will work closely with the TWDC
senior executive leadership team, business segment leaders and
corporate management, as well as HR and compensation teams across the
Company, to influence the strategic direction for the Company as it
relates to executive compensation programs aligned with business
objectives. The Vice President must build credibility and demonstrate
the ability to add value with leadership at all levels of the Company,
including the Compensation Committee of the Board of Directors. The
position is based in Burbank, CA but may require periodic travel to
Orlando, FL, New York, NY, Bristol, CT and possibly internationally.

 

 

Key Responsibilities

·         Work
across TWDC to develop an understanding of the Company’s global
operations, business priorities, culture and values in order to
represent and influence global compensation.

 

·         Continuously
monitor and assess key events, best practices and emerging trends in
executive compensation as it relates to peer companies or the various
external institutions and bodies impacting executive compensation and
evaluate for potential relevance to TWDC.

 

·         Effectively
drive the design, execution and administration of executive
compensation program components – base pay, annual incentives (bonus
and other forms of variable pay), long-term incentives (particularly
stock-based programs), and other related executive benefits and
perquisite programs.

 

·         Prepare
all executive compensation and benefit related materials that are
presented to the Compensation Committee of the Board of Directors.

 

·         Analyze
existing and alternative executive compensation programs on an ongoing
basis for cost impact, resource requirements, effectiveness, legal and
regulatory compliance, and alignment with shareholder interests.

 

·         Build
relationships with segment compensation teams to effectively
collaborate on program improvements for the planning, delivery and
communication of compensation programs.

 

·         Evaluate and make recommendations for executive compensation packages and contracts for senior incumbents and new hires.

 

·         Partner
with accounting and legal to prepare all compensation-related
disclosures for annual reports, proxy statements, and other filings and
lead the process for TWDC annual share authorization requests to
shareholders.

 

·         Prepare and present analyses, materials and recommendations to senior executive leadership, including the CEO of the Company. 

 

·         Provide
internal expertise and counsel to senior management, HR and other
stakeholders on the design, executive and operational aspects of
executive compensation programs.

 

 

Qualifications

·         Bachelor’s degree is required, master’s degree in business or related discipline preferred

·         10
years experience to include a demonstrated track record of providing
and translating conceptual and strategic thinking into specific
recommendations for executive compensation program design and
implementation

·         Demonstrated
understanding of complexity of multiple stakeholders with different
perspectives in the executive compensation arena, ability to articulate
and integrate their points of view

·         Exceptional quantitative skills needed to assess impact of programs

·         Finance,
tax and accounting aptitude required to facilitate communication with
internal contacts and understand impact of financial and accounting
controls on executive compensation program design

·         Proficiency in compensation theory, practice and program design, particularly in the executive compensation arena

·         Exceptional communication and influencing skills

·         Experience in complex project management involving multiple stakeholders from various disciplines

 

 

Specific personal competencies for the successful candidate include:

·         Business Acumen,
with an understanding of business strategies, financial and economic
business drivers and competitive challenges. Decision-making skills and
strong analytical and problem-solving ability are essential.

·         Executive/Leadership Presence,
with the ability to assume a leadership and business partner role with
executive and segment leadership, as well as the Board of Directors.

·         Relationship Building, with
demonstrated success in building partnerships across functions,
geographies and levels and proven ability to generate alliances, both
internally and externally.

·         Strategic Thinking,
with a view to what is not only appropriate for the business, but also
for the culture. Needs to be comfortable in an environment that
encourages debate and discussion in order to identify the best
strategies for the business.

·         Results-Oriented, with a track record of driving initiatives through to closure.
