The Global Stock Programs Supervisor position at Ariba requires a energetic, self motivated, self starter who has demonstrated the ability to deliver results. The individual will have strong work ethic, be detail-oriented and possesses the capability to excel in a fast paced environment. The ideal candidate must also have excellent verbal and written communication skills and excellent Microsoft Excel skills.
Duties and Responsibilities
• Manage all aspects of the Company's domestic and international stock incentive plans (including stock options, restricted stock awards and units and ESPP)
• Support international locations to identify and resolve issues regarding tax, legal and financial reporting compliance related to equity.
• Partner closely with the Legal, Tax, Finance, Internal Audit, Payroll and Human Resource functions on various equity issues
• Maintain and update Sarbanes Oxley documentation. Make the necessary updates to narratives, controls and testing to ensure stock administration department is compliant
• Execute SEC filing requirements for Section 16 officers
• Partner with Legal to create and distribute stock plan related communications.
• Maintain insider-trading list. Work with outside vendors to regulate insider-trading activity during company wide blackout periods
• Have an understanding of FAS123R and understand how actions by Stock Administration directly impact the related equity expense calculated by the Accounting team
• Participate in the Proxy preparation process and other ad hoc SEC filings
• Maintain vendor relationships with equity service providers and third party vendors
• Supervise and review work performed by Stock Administrator
Preferred Qualifications
• Two years of experience with restricted stock awards and units
• Prior experience with international equity plans and knowledge of international tax laws
• Certified Equity Professional (CEP)
• Strong organizational, problem solving and analytical skills
• Strong initiative and desire to work in a team-oriented environment
• Self-starter with excellent time and project management skills
• Ability to cope with pressure and changing priorities
• Ability to drive process based improvements
• Strong computer and analytical skills, including proficiency in Excel
• Diligent and dedicated
Basic Minimum Qualifications
• Bachelor’s Degree
• At least 4 years of relevant stock administration experience
