Announcement - IBM China Employee Stock Purchase Plan (ESPP)

Dear China Colleagues,


After successfully obtaining China government certificate of foreign
exchange, now IBM Employees Stock Purchase Plan (ESPP) will be formally
launched on August 14, 2009 for IBM China regular and fixed term
employees. This plan offers a convenient, cost-effective way for IBMers
in China to build an ownership stake in IBM company. This ESPP offering
period will run from July 1 – December 31, 2009, with six million
shares available for purchase.


Plan Highlights


IBM's Employees Stock Purchase Plan (ESPP) offers eligible employees
(both regular and fix term employees) the opportunity to invest in IBM
stock at a 5% discount off the market price on the appointed trade date
of purchase each pay period. ESPP contributions are made through
automatic payroll deduction. Participation is voluntary.


Employees may designate, at any whole percentage, between 1% and 10%
of their pay to purchase IBM stock through automatic payroll deduction,
up to a maximum of US$25,000 worth of shares in a calendar year. An
administrative fee of US$6.00 will be taken from the first ESPP
deduction each offering period.


Eligible employees may join the ESPP at any time during the offering
period, as long as they are actively employed. Participants may also
increase or decrease their ESPP contributions, add or delete a joint
owner, or withdraw from the plan at any time.

Dec-2009 Dec 31, 2009 Please log on ESPP China Tool Web Page at https://w3-07.ibm.com/hr/ap/gcg/cn/espp,
fill in and submit your enrollment form or change request according to
timeline. Your request will be reviewed and confirmed by HR afterwards
and the contribution will be deducted in your payroll of the next month.


Contributions are deducted from the monthly Eligible Compensation
that you receive. By accepting the ESPP China Guideline online when you
log on the system, you have expressly authorized IBM China to deduct
your contributions from your monthly Eligible Compensation.
