Job Responsibilities


LDR, a worldwide leader in
innovative spine products, has a newly created position open in the
Austin, TX office for an Equity Plan Administrator. This key position
will report to the General Counsel and will assist in the corporate and
legal affairs of the company, with an emphasis on equity
administration.  LDR’s headquarters is in Austin, TX, with offices in
Troyes, France, Sao Paulo, Brazil, and Beijing, China.  LDR is a fast
growing company, expanding rapidly both in the U.S. and internationally.


 


Responsibilities: 



  • Responsible for the day-to-day
    administration of LDR’s stock-based compensation plans, including stock
    option grants, restricted stock awards, exercises, sales, participant
    terminations, dividends and other related matters.

  • Daily interaction with employees, former employees, agents and shareholders on equity compensation related items.

  • Prepare participant materials regarding terms and conditions of grants and awards; provide support to participants.

  • Reconcile equity award activity within the company’s records and the transfer agent on an ongoing basis.

  • Ensure accurate data input into software system and maintain all paper and electronic files related to equity administration.

  • Ensure the accuracy and completeness of all transactions and reporting.

  • Stay abreast of regulatory requirements regarding stock administration to ensure the company is in compliance.

  • Provide timely and accurate
    reporting to support our company’s annual report, proxy, federal and
    state income tax filings, SEC filings, payroll and Sarbanes-Oxley
    testing.

  • Track grant acceptances, terminations, disqualifying dispositions and sales.

  • Provide required reports for Accounting, Tax, Legal and other relevant departments.

  • ESPP – Management of ESPP program including twice-yearly purchases.

  • Assist with the preparation and filing of securities filings such as Form 8-Ks, Proxy Statements, etc.

  • Prepares Section 16 reports for the directors and executive officers, and file required reports through EDGAR.

  • Prior experience with ADP software.

  • Perform other duties as assigned.


Requirements


Qualifications: 



  • Position requires a bachelor degree or
    higher from an accredited college or university in the areas of
    business, business administration, law, or other related field of study.
     

  • A minimum of 5-10 years of relevant experience in a corporate environment, administering stock plans or as a paralegal.

  • Working knowledge of Section 16
    insider reporting, tax, accounting and securities law aspects of equity
    compensation plans preferred.

  • Proficient in Equity Edge Online. Experience using the OLGA and ESPP Enrollment modules of E*TRADE.

  • Proficient in MS Word, Excel and PowerPoint (Access, Adobe Forms, Visio a plus), able to type at least 65 words per minute.

  • Must have the ability to fluently
    speak, read, write, and understand the English language.  Ability to
    speak French, Portuguese, Spanish, or Mandarin a plus.

  • Must be highly organized, detail
    oriented, and have the ability to work effectively under pressure in
    both a team setting and individually.  Must be able to handle
    confidential information.

  • Must have the ability to establish
    and maintain a courteous and cooperative working relationship with
    coworkers, customers, and visitors.

  • Ability to travel no more than a few times per year.

  • Strong verbal and written communication skills including ability to interact positively with a wide variety of individuals.

  • Decisive and able to exercise good
    judgment under pressure.  Sound judgment, strong work ethic, and
    commitment to ethical behavior.

  • Motivated self-starter, pro-active, and able to see the “big picture.”

  • Demonstrated ability and willingness to learn.
