TOPIC: In the second year of mandatory say-on-pay, companies responded proactively to the increasing power wielded by their shareholders and held CEO pay nearly flat, with an increased emphasis on longer-term pay-for-performance programs. After round one of say-on-pay in 2011, many directors sought to avoid the path of the 40+ companies that failed their say-on-pay votes in 2011 - some of which also faced shareholder lawsuits as a result.
