Dear Gary:
Grants of equity compensation create substantial value to the employee, whether the grants are ESOs, SARs, Restricted stock or RSUs.
But along with that value come a substantial risk that the grantee may lose all of the value in the case of ESOs and SARs and the grantee may lose a substantial part of the value in the case or Restricted Stock and RSUs.
Does your company, in the design of the Equity Compensation plan, ever give substantial consideration to how some of the risks of loss of value can be efficiently managed or reduced by the grantee/employee?
