Do private companies need to comply with statement mailing and IRS filing requirements of IRC 6039? Yes they do!!! If your company issues Incentive Stock Options (ISOs) and any participants have exercised (pre- or post-vesting), the company must send form 3921 to both employees and the IRS in the early part of each calendar year.
